Terms of Service
These Terms of Service (hereinafter referred to as "these Terms") establish the conditions for using the online shop (hereinafter referred to as "the Service") provided by IROA Co., Ltd. (hereinafter referred to as "the Company") on this website. Registered users (hereinafter referred to as "Users") shall use the Service in accordance with these Terms.

Article 1 (Application)
These Terms shall apply to all relationships between Users and the Company regarding the use of the Service.
The Company may establish additional rules, guidelines, or other provisions (hereinafter referred to as "Individual Provisions") related to the use of the Service. These Individual Provisions, regardless of their name, shall constitute part of these Terms.
If any provision of these Terms conflicts with an Individual Provision, the Individual Provision shall take precedence unless otherwise specified in the Individual Provision.

Article 2 (Registration)
To use the Service, applicants must agree to these Terms and apply for registration through the method specified by the Company. Registration is completed when the Company notifies the applicant of its approval.
The Company may refuse registration if it determines that the applicant falls under any of the following circumstances, without any obligation to disclose the reason:

If false information is provided during registration.
If the applicant has previously violated these Terms.
If the Company deems the registration inappropriate for any other reason.

Article 3 (Management of User ID and Password)
Users are responsible for managing their User ID and password for the Service.
Users must not transfer, lend, or share their User ID and password with third parties under any circumstances. The Company will consider any login using the correct combination of User ID and password as use by the registered User.
The Company shall not be liable for any damage caused by the use of a User ID and password by a third party, except in cases of the Company's intentional or gross negligence.

Article 4 (Sales Contract)
A sales contract is formed when a User submits a purchase order to the Company and the Company notifies the User of its acceptance. Ownership of the product transfers to the User when the product is handed over to the delivery carrier.
The Company may cancel the sales contract without prior notice if the User falls under any of the following circumstances:

Violation of these Terms.
Inability to deliver the product due to an unknown address or prolonged absence.
Damage to the trust relationship between the Company and the User.
Payment methods, delivery methods, cancellation procedures, and return methods are specified separately by the Company.

Article 5 (Intellectual Property Rights)
The copyrights and other intellectual property rights for product photos and other content (hereinafter referred to as "Content") provided through the Service belong to the Company or the rightful content providers. Users may not reproduce, reprint, modify, or otherwise use the Content without permission.

Article 6 (Prohibited Actions)
Users must not engage in the following actions when using the Service:

Violating laws or public order and morals.
Engaging in criminal activities.
Infringing on intellectual property rights such as copyrights or trademarks.
Disrupting or interfering with the Company's servers or networks.
Commercially using information obtained through the Service.
Actions that may hinder the operation of the Service.
Attempting unauthorized access.
Collecting or storing personal information of other Users.
Impersonating other Users.
Providing benefits to antisocial forces.
Any other actions deemed inappropriate by the Company.

Article 7 (Suspension of Service)
The Company may suspend or interrupt the Service without prior notice if it determines any of the following circumstances:

Maintenance, inspection, or updates of the computer system.
Natural disasters or other force majeure events.
Accidents causing computer or communication line failures.
Any other circumstances where the Company deems it difficult to provide the Service.
The Company shall not be liable for any damage caused by the suspension or interruption of the Service.

Article 8 (Restrictions and Account Cancellation)
The Company may restrict or cancel a User's registration without prior notice if the User:

Violates these Terms.
Provides false registration information.
Has their registered credit card suspended.
Fails to pay fees.
Does not respond to the Company's communications for a certain period.
Has not used the Service for a certain period.
Is deemed inappropriate for using the Service.
The Company shall not be liable for any damage caused by such actions.

Article 9 (Withdrawal)
Users may withdraw from the Service by following the designated withdrawal procedure.

Article 10 (Disclaimer)
The Company does not guarantee that the Service is free from defects, errors, or legal issues.
The Company shall not be liable for any damage caused to Users through the Service, except in cases of the Company's negligence (excluding gross negligence).
The Company is not responsible for transactions, communications, or disputes between Users or with third parties.

Article 11 (Changes to the Service)
The Company may change or discontinue the Service without notice and shall not be liable for any resulting damage.

Article 12 (Changes to the Terms)
The Company may modify these Terms at any time without notice. Continued use of the Service after changes constitutes acceptance of the modified Terms.

Article 14 (Notices)
Notices between Users and the Company shall be made through the method specified by the Company. Notices sent to the registered contact information are deemed to have reached the User at the time of sending.

Users may not assign their rights or obligations under these Terms without the Company's prior written consent.

Article 16 (Governing Law and Jurisdiction)
These Terms are governed by Japanese law. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Disputes shall be resolved in the court with jurisdiction over the Company's headquarters.
